It supplements, and should be read in conjunction with, our Terms of Use and Privacy Policy. This page explains licensing, affiliations, our business model, consumer rights, and regulatory compliance.
1 · Our Entities & State Licensing
- PG Orbit, LLC d/b/a Syngularity ("PG Orbit")
- Role: A Delaware limited-liability company. PG Orbit is the exclusive licensed real estate brokerage responsible for all regulated real estate brokerage activities and services offered or advertised through this Site, including those provided in connection with the Option and Sale Facilitation Agreement (OSFA) program detailed below.

2 · Affiliated Business Arrangement Disclosure (RESPA Section 8 Notice)
A. Notice of Affiliation & Potential Financial Benefit: This is to inform you that Archie Technologies, Inc. d/b/a Archie ("Archie") and PG Orbit, LLC d/b/a Syngularity ("PG Orbit") are affiliated companies. They share common ownership and management. This means that the owners, officers, or principals of Archie may benefit financially from business transacted by PG Orbit, and vice-versa, through their legitimate return on ownership interest. This disclosure is provided to ensure transparency regarding this relationship.
B. Payments Between Affiliated Entities & Prohibition of Unearned Fees:
- No Unearned Referral Fees or Kickbacks: In compliance with the Real Estate Settlement Procedures Act (RESPA), no direct referral fee, commission split, kickback, or other "thing of value" is paid or received between Archie and PG Orbit merely for the referral of customers for real estate brokerage or other settlement services.
- Payments for Bona Fide Services: Any payments or fee-sharing arrangements between Archie and PG Orbit are strictly for actual, necessary, and bona-fide services rendered by one entity to the other (e.g., for technology platform licensing, marketing services, administrative support, or shared operational costs). Such payments are structured to reflect the fair market value of the services provided and are separately documented. These are not payments for the referral of business.
C. Your General Right to Choose Providers (Outside the OSFA Program): For general real estate needs, and for any services sought outside of the specific "Option and Sale Facilitation Agreement" (OSFA) program described below, you are NEVER required to use PG Orbit, LLC for real estate brokerage services, nor are you required to use any other service provider affiliated with Archie (such as for mortgage lending, title insurance, or other settlement services, if any such affiliated services were to be offered). There are frequently other real estate brokerage firms and settlement service providers available with similar services. You are always free to shop around and compare providers to determine that you are receiving the best services and the best rates. A list of other local real estate brokers and settlement service providers can typically be obtained from various public sources (e.g., state licensing boards, local Realtor® associations, online searches).
D. Specific Conditions for the Voluntary "Option and Sale Facilitation Agreement" (OSFA) Program: Archie offers a specialized, voluntary program for property owners known as the Option and Sale Facilitation Agreement (OSFA). The OSFA program is designed to provide property owners with upfront financial liquidity via an "Advance" payment in exchange for Archie (or its affiliate) acquiring an option or other contractual right concerning the property, with a coordinated effort to market and sell the property. Key details of the OSFA are provided in Section 3 of these Disclosures.
If you, as a property owner, voluntarily elect to participate in the OSFA program offered by Archie, the terms of that specific OSFA program contractually require that your property be listed for sale exclusively with our affiliated brokerage, PG Orbit, LLC.
This requirement to use PG Orbit for brokerage services is an integral and necessary operational element specific to the OSFA program itself. It is not a general requirement to use PG Orbit for all real estate services. The reasons for this integrated approach within the OSFA program include:
- Integrated Financial and Contractual Risk: The OSFA involves Archie (or its designated affiliate) taking a direct financial position and acquiring specific contractual rights (such as an option to purchase or a right to share in sales proceeds) related to your property, often including the payment of a significant upfront, non-recourse Advance to you.
- Specialized Coordinated Sale Process: To effectively manage the financial risks and contractual obligations undertaken by Archie and to ensure the objectives of the OSFA are met, a closely coordinated and specialized marketing and sale process is essential. PG Orbit is designated under the OSFA to provide these specialized brokerage services, working in direct concert with Archie regarding the strategy, terms, and execution of the property sale, consistent with the rights and interests established by the OSFA.
- Alignment of Interests & Program Integrity: This integrated structure is designed to align the interests of you (the property owner), Archie (as the OSFA provider and option holder), and PG Orbit (as the facilitating brokerage) towards achieving a successful sale under the unique terms and timelines contemplated by the OSFA program. This operational linkage is critical for the business model and integrity of the OSFA program as offered by Archie.
You are under no obligation to participate in the OSFA program. If you choose not to enter into an OSFA, the conditions specific to the OSFA program (including the requirement to list with PG Orbit as part of that program) do not apply to you. You remain free to select any real estate brokerage and any other settlement service providers for a traditional property sale or other transaction.
We strongly encourage all consumers to carefully review all agreements and to seek independent legal, financial, and tax advice to fully understand their options and the terms of any proposed agreement, including the OSFA program.
3 · Option and Sale Facilitation Agreement (OSFA) & Financial Interests - Important Disclosures
Archie, in conjunction with PG Orbit for brokerage activities, may offer property owners an Option and Sale Facilitation Agreement (OSFA) or similar programs.
- Nature of the "Advance": Any "advance" payment a property owner may receive under an OSFA is a non-recourse payment for an option to purchase or other contractual right related to the property. It is NOT a loan, line of credit, or mortgage transaction. Consequently:
- No interest accrues on the advance.
- The property owner is not obligated to repay the advance, absent a breach by the property owner.
- The federal Truth-in-Lending Act (TILA), Home Ownership and Equity Protection Act (HOEPA), and state usury laws applicable to loans do not apply to this advance payment.
- Brokerage Role and Compensation under OSFA: As a condition of participating in the OSFA program and receiving its benefits (such as the advance), sellers agree to list their property exclusively for sale with PG Orbit, LLC. PG Orbit provides all necessary real estate brokerage services to market and sell the property under the terms outlined in the OSFA and a corresponding listing agreement. While the listing agreement will specify the brokerage services provided by PG Orbit and may state a commission rate for context and compliance, compensation for PG Orbit's services is accounted for within the overall financial structure of the OSFA program. Archie's revenue derives from its share of the property's sale proceeds (as defined in the OSFA) and a 1% platform fee charged to the buyer. No separate or additional brokerage commission is charged by PG Orbit to the property owner under the OSFA.
- Financial Interests of Affiliated Parties: Archie, PG Orbit, their respective owners, officers, affiliated real estate licensees, or other principals (collectively "Affiliated Parties") will, pursuant to an OSFA, acquire an option, equitable interest, or other direct or indirect financial interest in the property. Affiliated Parties may share in sale proceeds exceeding the advance amount or as otherwise specified in the written OSFA.
- Disclosure of Licensee Interest: Any such financial interest held by PG Orbit or its affiliated real estate licensees in a property being marketed or sold will be disclosed in writing at the earliest practicable opportunity and as explicitly required by Delaware Real Estate Commission Rule 4.5.6 and comparable Maryland statutes and regulations (e.g., Md. Code Ann., Bus. Occ. & Prof. § 17-322(b)(10), COMAR 09.11.02.01H).
- Archie Proceeds Participation: Under the Option & Sale Facilitation Agreement ("OSFA"), Archie Technologies, Inc. receives a strictly contractual share of sale proceeds in its role as a principal investor, not as a real-estate broker. The share is calculated by a fixed, pre-negotiated formula (sale price – up-front advance – actual closing costs ± other OSFA-specified items, then multiplied by an agreed percentage). PG Orbit, LLC--the licensed brokerage of record--performs the required brokerage tasks and collects no commission or fee from any party. Because Archie's return is earned solely as an option-holder and PG Orbit is uncompensated, the structure complies with Delaware Real Estate Commission Rule 4.5.2 and Maryland COMAR 09.11.02.01.D, which govern broker compensation arrangements and bar any hidden or contingent brokerage interests. This transparent, formula-based approach cleanly aligns Archie's incentives with the seller's goal of maximizing the final sale price while eliminating any brokerage conflict of interest.
- Seek Independent Professional Advice: Property owners are strongly urged to consult with their own independent legal and tax counsel before entering into an OSFA and the associated listing agreement with PG Orbit to fully understand all terms, obligations, and implications.
4 · Rights and Roles of Buyers & Sellers (Agency & Representation)
- Independent Representation: All parties in a real estate transaction (buyers and sellers) are encouraged, but not obligated, to retain their own independent licensed real estate agent and/or legal counsel to represent their specific interests.
- Buyer-Broker Compensation: Compensation arrangements for a buyer's broker are negotiable and must be memorialized in a written agreement (e.g., a buyer representation agreement) executed by the buyer before an offer to purchase is presented, in accordance with applicable state law.
- Agency Disclosures: Information regarding brokerage relationships (agency) and how PG Orbit represents its clients (e.g., as a seller's agent, buyer's agent, or, if legally permissible and with informed consent, as a dual or designated agent) will be provided in accordance with Delaware and Maryland law. This typically involves state-mandated agency disclosure forms (e.g., "Understanding Whom Real Estate Agents Represent" in Delaware; "Understanding Whom Real Estate Agents Represent" disclosure form required by the Maryland Real Estate Commission) provided at the first substantive discussion about a specific property or your real estate needs. Please ask your PG Orbit agent for this information and clarification of their role.
5 · Property Information, Data Syndication & Accuracy Disclaimer
- Accuracy of Information: Property listings and related information presented on this Site or through our services (e.g., square footage, lot size, features, schools, taxes, property condition) are obtained from sellers, public records, or other third-party sources and are believed to be reliable. However, this information is NOT guaranteed or warranted by PG Orbit or Archie. All such information is subject to errors, omissions, changes (including price or terms), prior sale, or withdrawal without notice. Prospective buyers are solely responsible for independently verifying all information by personal inspection and by consulting with appropriate professionals (e.g., home inspectors, appraisers, surveyors, legal counsel) before relying upon it or entering into any contract.
- Data Syndication: PG Orbit feeds property listing information via MyStateMLS, direct RESO (Real Estate Standards Organization) data feeds, and social media APIs to third-party consumer real estate portals (e.g., Zillow, Realtor.com, Homes.com) and other platforms. PG Orbit and Archie are not responsible for and disclaim all liability for delays, omissions, inaccuracies (including automated valuation model (AVM) errors or mapping inaccuracies), or the display of outdated information after such data has been redistributed to or by third parties beyond our direct control. Display of listing information on a third-party site does not create an agency relationship between PG Orbit and the site viewer.

As part of this process, parties to a transaction may be required to provide government-issued identification and documentation regarding their source of funds.

Standard real estate forms provided or utilized by PG Orbit may have been drafted or reviewed by legal counsel (e.g., Holland & Knight LLP) for general use in typical transactions. The provision or use of these forms by PG Orbit does not constitute legal advice to you, nor does it create an attorney-client relationship between you and such counsel or PG Orbit. PG Orbit and Archie strive to comply with all applicable federal, state, and local laws and regulations, including but not limited to:
- Real Estate Settlement Procedures Act (RESPA) (12 U.S.C. § 2601 et seq.)
- Truth-in-Lending Act (TILA) (15 U.S.C. § 1601 et seq.) – as applicable to any credit-related activities, though the OSFA advance is not credit.
- Telephone Consumer Protection Act (TCPA) (47 U.S.C. § 227)
- Federal Fair Housing Act (42 U.S.C. § 3601 et seq.)
